The Company’s issued capital is divided into 1,650,000,000 shares, each with a nominal value of 1 Turkish Lira.

The issued capital consists of registered shares in Group A and bearer shares in Group B. All Group A shares, totaling 1,000,000 shares with a value of 1,000,000 TL, are owned by IC İbrahim Çeçen Yatırım Holding A.Ş.. Group B shares consist of 1,649,000,000 shares with a value of 1,649,000,000 TL.

Group A shares have the privilege of nominating candidates for the Board of Directors. If the Board consists of 5 members, 3 members are elected from the candidates nominated by Group A shares. If it consists of 6 or 7 members, 4 members are elected from the candidates nominated by Group A shares. If it consists of 8 or 9 members, 5 members are elected from the candidates nominated by Group A shares. The remaining members are elected by the General Assembly.

Voting rights are calculated based on the nominal value of the shares. There is no privilage for voting rights.

Subsidiaries

IC Çeşme Marina Yatırım Turizm ve İşletmeciliği A.Ş.

IC GYO directly owns 55% of Çeşme Marina, whose total capital is 8,030,000 TL. Established under a build-operate-transfer model, Çeşme Marina is operated in partnership with IC Holding and Camper & Nicholsons International Marinas, one of the long-standing players in the marina industry. Opened in 2010, Çeşme Marina offers berthing capacity for 477 yachts and includes shopping and dining areas as well as a boutique hotel, generating rental income through its operations.
