Sustainability Governance Structure

Strategic Management

IC Holding has established a governance structure that identifies individuals responsible at both operational and strategic levels for the design of the Sustainability Management System for all Group Companies, and for the management and effective monitoring of sustainability issues. The Vice Chairman of the IC REIT Board of Directors and the CEO of IC Holding is the Chairman of the IC Holding Sustainability Committee.

IC Holding Sustainability Committee

The IC Holding Sustainability Committee is responsible for reviewing corporate policies, strategies, roadmaps, risks, and opportunities within the framework of sustainability priorities; determining sustainability goals and performance criteria; approving/approving sustainability-related budgets; representing IC Holding in international and local platforms; and authorizing and coordinating Working Groups.

Working Groups

The Working Groups are responsible for developing, implementing, monitoring, revising when necessary, and reporting on performance-enhancing actions/projects in thematic areas, in line with the strategies, decisions, and targets set by the IC Holding Sustainability Committee. The members of the Working Groups have been selected from the IC Sustainability Team. The General Manager of IC REIT is the Chairman of the SKA 11 Sustainable Cities and Communities Working Group.

Internal Sustainability Team

The IC Sustainability Team was established in 2022 with volunteers from IC Holding and its Group Companies to plan, implement, and develop sustainability activities over the next 10 years. Comprehensive training sessions have been conducted twice, in 2022 and 2024. The team includes 2 members from IC REIT.

IC GYO Corporate Governance Committee

The Committee, chaired by an independent member of the IC GYO Board of Directors, consists of a total of 4 members, including 2 independent board members. According to the decision of the Company's Board of Directors dated 29.07.2025, the Corporate Governance Committee, designated as the highest responsible authority on Environmental, Social, and Corporate Governance (ESG) issues, is responsible for the implementation of the Company's ESG Policies. The coordination of ESG issues within the Company is provided by the Investor Relations Department. The manager of the Investor Relations Department is also a member of the Corporate Governance Committee.
